OnePlaybook End-User License Agreement 

This End-User License Agreement ("EULA") is a legal agreement between you, the user, (either an individual or a single entity) and 360 Sports Software, LLC (hereafter referred to as “360”) for the Service identified above, which includes computer software and may include associated media, printed materials, "online" or electronic documentation, and Internet-based services ("Service"). You agree to be bound by the terms of this EULA by signing this Agreement. 

Grant of License. 

360 grants you the following rights provided that you comply with all terms and conditions of this EULA: You may use, access, display and run one account with the Service. The account may not be accessed by anyone outside your organization.  Activation of your account will occur within 24 hours of the signing of this agreement.  Activation will include one login name (being an email you provide) and password (which will be generated for you and which you will be able to change within the Service) delivered by email or phone.  360 reserves all rights not expressly granted to you in this EULA. 

Payment. 

Payments may be made to 360 by check, credit card, or money order. Upon the user registering his team on the online register form, after the 15 day trial period an email invoice will be sent to them. Payments will be due yearly and will pay for the following year. There will be a 15 day grace period for this payment. The payment amount for an account depends on the account chosen by the user upon filling out the online register form. This amount is clearly stated on the “Sign Up” page, and as of December 17th, 2008, stands at $48 and $120, for the “Standard” and “Plus” accounts, respectively. If payment is not received within or prior to the grace period, 360 reserves the right to terminate this agreement.

Additional Software/Services. 

This EULA applies to updates, supplements, add-on components, or Internet-based services components, of the Service that 360 may provide to you or make available to you after the date you obtain your initial account with the Service, unless we provide other terms along with the update, supplement, add-on component, or Internet-based services component. 360 reserves the right to discontinue any Internet-based services provided to you or made available to you through the use of the Service. 

Transfer. 

Resale, leasing, rental, or any other form of temporary or permanent transfer to a third party is not permitted without express written consent from 360. Limitation of Reverse Engineering, Decompilation or Disassembly. You may not reverse engineer, decompile, decrypt, decode, or disassemble the Service, except and only to the extent that it is expressly permitted by applicable law notwithstanding this limitation. 

Termination. 

Without prejudice to any other rights, 360 may cancel this EULA if you do not abide by the terms and conditions of this EULA, in which case it reserves the right to hold or destroy all account information.  If this occurs, you will be notified by phone or email within 24 hours that your account will be disabled.  You may discontinue the Service and this Agreement by notifying 360 by writing or phone upon which time your account will be deactivated. 

Consent to Use of Data.

You agree that 360 and its affiliates may collect and use technical information gathered in any manner as part of the Service support services provided to you, if any, related to the Service. 360 may use this information solely to improve the Service or to provide customized services or technologies to you.  Exclusion of Incidental, Consequential and Certain Other Damages. In no event will 360 be liable for special, incidental, or consequential damages resulting from possession, use or malfunction of the Service, including damages to property, loss of goodwill, computer failure or malfunction and, to the extent permitted by law, damages for personal injuries, even if 360 has been advised of the possibility of such damages.  360’s liability shall not exceed the actual price paid for the use of the Service. 

U.S. Government License Rights. 

The Service’s software and documentation have been developed entirely at private expense and are provided as "Commercial Computer Software" or "restricted computer software." Use, duplication or disclosure by the U.S. Government or a U.S. Government subcontractor is subject to the restrictions set forth in subparagraph (c)(1)(ii) of the Rights in Technical Date and Computer Software clauses in DFARS 252.227-7013 or as set forth in subparagraph (c)(1) and (2) of the Commercial Computer Software Restricted Rights clauses at FAR 52.227-19, as applicable. The Contractor/ Manufacturer is 360. 

Equitable Remedies. 

You hereby agree that if the terms of this Agreement are not specifically enforced, 360 will be irreparably damaged, and therefore you agree that 360 shall be entitled, without bond, other security, proof of damages, to appropriate equitable remedies with respect any of this Agreement, in addition to any other available remedies. 

Miscellaneous. 

This Agreement represents the complete agreement concerning this license between the parties and supersedes all prior agreements and representations between them. It may be amended only in writing executed by both parties. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable and the remaining provisions of this Agreement shall not be affected. This Agreement shall be construed under New York law as such law is applied to agreements between New York residents entered into and to be performed within New York, except as governed by federal law and you consent to the exclusive jurisdiction of the state and federal courts in New York, New York.
